In this session we will cover multiple ways the DoD makes their award decisions. The key methodologies of Sealing Bidding as well as Competitive Negotiations (or competitive proposals) will be discussed with an emphasis on the Source Selection Process used by the DoD. A key component of the DoD award decision is the "responsibility determination." Understanding how this final Contracting Officer determination can literally derail an otherwise successful proposal is critical. Learning Objectives: The selection process will be discussed as well as using debriefings to better understand just "why" you weren't successful. Lastly, when all else fails, if the DoD didn't fairly and transparently execute their procurement process, the protest process will be extensively covered to prepare you to challenge a DoD award decision.

This is the eighth in our fourteen-part webinar series The Advanced Webinar Series on Construction Contracts, Claims and Risk Management. Focusing on the Subcontractor's perspective and its interests, this course provides an in-depth analysis of pass-through aspects of construction contracts and the methods of recognizing and accounting for the risks arising from the construction project, including the claims and notice requirements associated with changes, differing site conditions, delays, disputes, and payment terms. The course addresses methods of perfecting and presenting Subcontractor claims and disputes whether they arise from General Contractor conduct, other Subcontractor's conduct, or from the Owner's conduct. The discussion focuses on the contract terms as they impact the Subcontractor in recognizing the risks and properly account for them in negotiating the subcontract and administering it during performance. Learning Objectives: After completing this course, you will be able to:  Understand the Subcontractor's perspective regarding the language and parts of the Changes clause under the FAR government contract clause and the private construction AIA contract clause.  Recognize how flow-through among the Owner, General Contractor and the Subcontractor(s) affects the rights and obligations of Subcontractor.  Understand the Disputes Clause and how the concept of flow-through and contract drafting can protect the Subcontractor.  Understand how bond claims can be addressed through contract drafting and flow-through.  Identify the Subcontractor's position on the basic risk assignment issues among the Owner, the General Contractor, and the Subcontractor(s).  Identify potential language to amend and adjust the clauses according to your risk assessment.

The scope of this corrective action can result in additional protest litigation. The webinar will focus on corrective action in the protest forums. We will explore the frequency with which agencies take corrective action and the types of corrective action agencies utilize to remedy procurement concerns. Instructors, Amy Fuentes, Mary Beth Bosco and Mitchell Bashur of Holland & Knight will cover competition requirements, acquisition planning and describing agency needs. You will learn how the government promotes full and open competition as well as exclusions, sealed bidding and competitive proposals (Part 6). You will also get an overview of the acquisition planning process (Part 7) and agency needs (Part 11). Part 6 This part prescribes policies and procedures to promote full and open competition in the acquisition process and to provide for full and open competition after exclusion of resources, other than full and open competition, and advocates for competition. Part 7 This part prescribes policies and procedures for- (a) Developing acquisition plans; (b) Determining whether to use commercial or Government resources for acquisition of supplies or services; (c) Deciding whether it is more economical to lease equipment rather than purchase it; and (d) Determining whether functions are inherently governmental. Other Transaction Agreements - Something Old is New Again
November 2nd Noon- 1pm ET - Other Transaction Agreements - Something Old is New Again The 2016 NDAA breathed new life into the Prototype Other Transaction Agreements ("OTAs"). OTAs are a unique federal contractual instrument which have flexible rules for certain agencies to develop product prototypes as well as pursue research and development opportunities. OTAs can be awarded to individual entities or to consortiums, including consortiums formed specifically to perform a specific OTA. Consequently, OTAs are touted as the "freedom to contract" and often are perceived to be less stringent than typical federal procurement contracts because they may be free of many of the onerous requirements and practices characteristic of procurement contracts such as the government contract cost accounting, rights in technical data (and other intellectual property), and other procurement contract unique requirements. Thus, OTAs present the opportunity for parties to carefully craft and tailor the contract to maximize efficiencies and facilitate the effectiveness of the program, and because they are not generally subject to the procurement laws or regulations (including the Federal Acquisition Regulation or FAR) this seminar is useful for anyone who works for a company who has a technology or idea that has a potential benefit to the Department of Defense but who is loathe to enter into a standard procurement contract. The presentation will provide a brief overview of OTAs, a description of the key elements of consideration for the use of an OTA, and a discussion of the minimum requirements of an OTA for future work.
